Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between Arcwork ("we," "us," or "our") and you or the entity you represent ("Customer"). By accessing or using the Arcwork Service, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not use the Service.

2. Use License

We grant you a non-exclusive, non-transferable license to use the Arcwork Service in accordance with these Terms. You may not:

• Reproduce, distribute, or transmit the Service without authorization
• Attempt to gain unauthorized access to the Service or its systems
• Use the Service to violate pharmaceutical regulations or laws
• Reverse engineer or attempt to extract the source code
• Use the Service for competitive analysis without written consent

3. User Responsibilities

You are responsible for:

• Maintaining confidentiality of your account credentials
• All activity under your account
• Ensuring artwork and data you upload does not infringe third-party rights
• Complying with applicable pharmaceutical and data protection regulations
• Notifying us immediately of unauthorized access

4. Intellectual Property

The Service, including all software, designs, and documentation, is owned by Arcwork and protected by copyright and other intellectual property laws.

You retain ownership of artwork and data you upload. By uploading content, you grant us a license to process, store, and display it within the Service as necessary to provide the platform.

5. Fees and Payment

Fees are based on your subscription plan and are billed monthly in advance. Pricing, payment terms, and billing details are provided in your signed Order Form or quote.

• Invoices are due within 30 days
• Late payments may incur interest at 1.5% per month
• We may suspend service for non-payment after 15 days notice
• All fees are exclusive of applicable taxes

6. Subscription and Cancellation

Subscriptions renew automatically unless canceled. You may cancel your subscription anytime by contacting us. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial months.

7. Service Availability and Support

We aim to maintain 99.5% uptime. However, the Service is provided "as-is" without guarantees of uninterrupted availability. Scheduled maintenance and emergency repairs may cause temporary unavailability.

Support is provided via email and is subject to response times defined in your Service Level Agreement.

8. Disclaimers and Limitations

Disclaimer: THE SERVICE IS PROVIDED "AS-IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARCWORK SHALL NOT BE LIABLE FOR:

• Indirect, incidental, or consequential damages
• Loss of profits, revenue, or data
• Any damages exceeding the fees paid in the past 12 months

Exception: This limitation does not apply to our indemnification obligations or breaches of confidentiality.

9. Indemnification

You agree to indemnify and hold harmless Arcwork from any claims, damages, or costs arising from:

• Your violation of these Terms
• Your use of the Service in violation of laws or regulations
• Infringement claims related to content you upload

10. Compliance with Regulations

You are responsible for ensuring your use of Arcwork complies with all applicable regulations in your jurisdiction and industry, including but not limited to:

• FDA, EMA, FSSAI, and other regulatory standards (as applicable)
• Data protection laws (GDPR, CCPA, India DPA, etc.)
• Industry-specific compliance requirements (pharma, cosmetics, nutraceuticals, FMCG, etc.)
• Export control and local regulations

Arcwork is designed to support compliance, but compliance responsibility ultimately rests with you and your organization.

11. Data Handling and Confidentiality

We maintain your data in accordance with our Privacy Policy and applicable Data Processing Addendum. Your pharmaceutical artwork is encrypted and stored securely. We do not use your data for training AI models or competitive purposes.

12. Termination

Either party may terminate this agreement:

• For convenience with 30 days written notice
• Immediately if either party materially breaches and fails to cure within 15 days
• Immediately if required by law

Upon termination, we will delete your data within 30 days unless legally required to retain it.

13. Governing Law

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in India.
